Dear Sirs,

英屬維京群島商永德福汽車股份有限公司台灣分公司(以下稱「永德福汽車」)業經母公司Griffin Automotive Limited同意將永德福汽車所經營之業務（以下稱「移轉業務」）（包含母公司為提供永德福汽車使用，以持續經營為前提營運該等移轉業務所持有、負擔或授權使用之所有資產及負債，且不附帶任何負擔），自中華民國115年6月1日起，移轉予同屬Scania旗下之瑞典商Scania Griffin Sales & Services AB（以下稱「Scania Griffin」）（以下稱「本營業讓與案」）。

The parent company of Griffin Automotive Limited, Taiwan Branch (“Griffin Taiwan “) has consented to transfer Griffin Taiwan ’s business (the “Business”) (including all assets and liabilities held, owed or licensed by the Griffin Automotive Limited for the use or allocation to Griffin Taiwan for operating the Business, as a going concern, free from any encumbrances) to Scania Griffin Sales & Services AB (“Scania Griffin”), which is one of its affiliates under Scania group, effective on 1 June 2026 (the “Business Transfer”).

倘永德福汽車之債權人對本營業讓與案有異議，請於本公告發布之日起三十天內以書面向永德福汽車提出異議聲明，俾便永德福汽車依法處理債權債務關係。

If a creditor of Griffin Taiwan’ disagrees with the Business Transfer, they are advised to send a written statement describing their disagreement within 30 days of the date of this announcement for Griffin Taiwan to handle the creditor-debtor relationship pursuant to law.
