Dear Sirs,

前於中華民國（下同）115年4月21日公告，英屬維京群島商永德福汽車股份有限公司台灣分公司(以下稱「永德福汽車」)業經母公司Griffin Automotive Limited同意將永德福汽車所經營之業務（以下稱「移轉業務」）（包含母公司為提供永德福汽車使用，以持續經營為前提營運該等移轉業務所持有、負擔或授權使用之所有資產及負債，且不附帶任何負擔），將自115年6月1日起，移轉予同屬Scania旗下之瑞典商Scania Griffin Sales & Services AB（以下稱「Scania Griffin」）（以下稱「本營業讓與案」）。

As previously announced on April 21, 2026, the parent company of Griffin Automotive Limited, Taiwan Branch (“Griffin Taiwan “) has consented to transfer Griffin Taiwan ’s business  (the “Business”) (including all assets and liabilities held, owed or licensed by the Griffin Automotive Limited for the use or allocation to Griffin Taiwan for operating the Business, as a going concern, free from any encumbrances) to Scania Griffin Sales & Services AB (“Scania Griffin”), which is one of its affiliates under Scania group, effective on 1 June 2026 (the “Business Transfer”).

因與本營業讓與案相關之集團內部行政程序尚未完成，本營業讓與案之移轉基準日期將順延辦理；待具體移轉日期確定後，將另行公告。

As certain internal administrative procedures in connection with the Business Transfer remain pending, the record date of the Business Transfer will be postponed. We will make a further announcement once the definitive record date of the Business Transfer is determined.
