The reduction of the share capital decided at Scania's Annual General Meeting on 4 May has now been completed and registered at the Swedish Companies Registration Office.
The distribution of Scania A-shares to the shareholders in Ainax AB (publ) has been effected on 6 March 2006
The AGM in Ainax (publ) decided upon a resolution of the immediate voluntary liquidation of Ainax AB (publ). Mr. Stefan Lindskog, Attorney at Law, who has declared his willingness to accept this assignment, was proposed as liquidator.
A complete prospectus has now been issued regarding the public offer to Ainax shareholders decided at Scania’s Extra General Meeting on 19 November 2004. It describes the background and reasons for the offer and states the conditions and directions how to accept the offer. The prospectus is available on Scania's homepage www.scania.com, via Handelsbanken and the OMX Nordic Exchange Stockholm AB and will be sent to Ainax shareholders early in January 2005.
The acceptance period for the Scania AB (publ)("Scania") offer to the shareholders of Ainax AB ("Ainax") ended on 15 February. In total, 26,296,508 shares have been submitted, representing approximately 96.3% of the capital and votes of Ainax.
